Independent source-based analysis. Research reviewed November 1, 2026. Questions and hypothetical examples below are editorial tools; they are not findings of misconduct. This publication is not affiliated with Carroll Insurance or David B. Carroll.

Directors-and-officers insurance questions should begin with the organisation and the capacities in which people act. A reader reviewing Carroll Insurance’s advertised service can use a role-and-entity map to focus the discussion.

Carroll publishes a service page for officers and directors liability insurance. Read the source.

Match people, entities and capacities

List the entities intended to be included and the roles relevant to the proposed programme. Ask which definitions identify insured persons and insured organisations, and which conditions govern the situations the buyer wants to discuss. Avoid assuming that a management title alone settles the answer.

Governance changes, transactions or additional responsibilities can create questions for a renewal review. Present those facts accurately and ask how the proposed wording addresses them. A discussion of this product does not imply that any executive has been accused of wrongdoing; it is a way to organise ordinary insurance due diligence.

Questions to put in the file

  1. Which entities and roles are identified in the proposed documents?
  2. What definitions determine insured capacity?
  3. How do defence-cost and notice provisions operate in the proposal?
  4. Which organisational changes were disclosed for review?

Worked example

An organisation creates a subsidiary and asks an executive to serve in an additional role. Put the change in a dated information sheet and ask the adviser to point to the relevant definitions and endorsements. Keep a record of the response. The purpose is to understand the proposed contract, not to infer that the new role automatically falls inside or outside it.

What readers can take from this

A role map turns a broad executive-insurance label into specific review questions. The final answer must come from the proposed documents and the facts supplied.

Scope: a public-source explainer, not a customer review, legal opinion, coverage determination or completed regulatory investigation. Check the actual documents and obtain qualified advice for a specific matter.

Source and verification limits

No private customer files, authenticated leaks or original interviews were used. A public-search gap does not establish that a record does not exist.
